Dignity Health to Acquire U.S. HealthWorks. Health system will expand to 16 states, adding 172 medical centers

San Francisco, CA Jul 2, 2012 – Dignity Health, the fifth largest health system in the nation, announced today that it has signed a definitive agreement for the acquisition of U.S. HealthWorks, the largest independent operator of occupational medicine and urgent care centers in the United States. The deal is subject to certain regulatory approvals and is expected to be finalized in August 2012. Terms were not disclosed.
Dignity Health is extending its mission into new care settings in order to deliver quality care more efficiently and improve the overall health status of the communities it serves. The acquisition reflects organization’s vision to become a national, integrated delivery network by 2020. U.S. HealthWorks, a portfolio company of Altaris Capital Partners and Three Arch Partners, operates 172 locations nationwide, and has a network of more than 2,700 employees, including approximately 800 medical providers who deliver quality care to more than 12,000 patients each day. “We are excited to bring U.S. HealthWorks into the Dignity Health family,” said Lloyd H. Dignity Health plans to expand the U.S. HealthWorks operations nationally. The organization is also investing in ambulatory surgery and imaging centers through its partnerships with United Surgical Partners International (USPI) and SimonMed Imaging. Dignity Health currently has 17 joint-venture surgical centers with USPI, and 35 imaging centers with SimonMed.
Citigroup Global Markets, Inc. acted as exclusive financial advisor to Dignity Health on the transaction. Goldman Sachs acted as exclusive financial advisor to U.S. HealthWorks.

U.S. HealthWorks Adds Cupertino Medical Group to its Network of California Centers

Cupertino, CA Jun 11, 2012 – U.S. HealthWorks, the largest independent operator of occupational health care centers in the United States, today announced it has acquired the Cupertino Medical Group. The center is located at 10050 Bubb Road, Suite 3, in Cupertino.
U.S. HealthWorks now operates 66 medical centers in California and a total 172 nationwide. Terms of the transaction, effective June 9, 2012, were not disclosed.
The facility will continue to offer a wide range of urgent care and occupational healthcare services, including diagnosis and treatment for injury and illness, preventive services, pre-employment and post-offer exams and screening, and return-to-work rehabilitative care. The center is open Monday through Saturday, 8 a.m. to 8 p.m.

U.S. HealthWorks Adds Pacific Walk-in Clinic in Lacey to its Network of Washington Centers

Lacey, WA Jan 23, 2012 – U.S. HealthWorks, the largest operator of occupational healthcare and urgent care centers in Washington, today announced the acquisition of the Pacific Walk-In Clinic, located at 3928 Pacific Avenue Southeast.
The Pacific Walk-In Clinic acquisition brings the number of U.S. HealthWorks operated medical centers in Washington to 18 and increases the number of centers and worksite locations to 174 nationwide. Terms of the transaction, effective January 19, 2012, were not disclosed.

Department of Homeland Security Appoints U.S. HealthWorks Medical Director to Merchant Mariner Medical Advisory Committee

Valencia, CA Nov 7, 2011 – The U.S. Department of Homeland Security has appointed Dr. Mark Pucek, Regional Medical Director with U.S. HealthWorks Medical Group, to its Merchant Mariner Medical Advisory Committee.
The Advisory Committee provides expertise and recommendations to the Department of Homeland Security on matters related to the medical evaluations and requirements for Merchant Mariners. Dr. Pucek will serve a five-year term on the committee.
Dr. Pucek is the U.S. HealthWorks Regional Medical Director for the Southern United States. U.S. HealthWorks is a leading operator of urgent care and occupational healthcare centers in the nation, with 171 centers and worksite locations in 15 states.
“This is a tremendous honor to be chosen as a member of the Advisory Committee and be relied upon by the Department of Homeland Security to initiate new ideas and recommendations regarding medical issues for Merchant Mariners,” Dr. Pucek said.
Established in June 2009, the Merchant Mariner Medical Advisory Committee advises the Secretary of the Department of Homeland Security on matters related to (A) medical certification determinations for issuance of licenses, certificates of registry, and merchant mariner documents; (B) medical standards and guidelines for the physical qualifications of operators of commercial vessels; (C) medical examiner education; and (D) medical research.
The committee provides a forum for development, communication and consideration of expert-based and scientific recommendations. The committee also is responsive to specific assignments and may conduct studies and inquiries in consultation with individuals and groups in the private sector as well as state and local government.
Dr. Pucek has been a member of the U.S. HealthWorks Medical Executive Committee since 1998. As a Regional Medical Director, he advises U.S. HealthWorks in the development of national and regional policies and procedures pertaining to medical professional conduct, best medical practices, medical formulary decisions, and quality of care.
Dr. Pucek has done consultant work for nearly two decades with Kirby Marine Corporation in Houston, Texas, the largest inland marine barge towing company in the U.S. His experience with Kirby (previously Hollywood Marine Corporation) included U.S. Coast Guard Merchant Mariner medical examinations and evaluations, development of a medical surveillance program, and serving as a guest expert medical advisor to the Towing Safety Advisory Committee (2008) at the Coast Guard National Maritime Center in Washington, DC.
A resident of Dickinson, Texas, Dr. Pucek received his medical degree from the University of Texas Medical School at Houston and attended the University of Texas at Austin for his undergraduate studies.

U.S. HealthWorks Acquires Two New Jersey Medical Centers Occupational Healthcare Centers located in Bridgewater and Somerset

Edison, NJ Nov 7, 2011 – U.S. HealthWorks, a leading operator of occupational healthcare centers nationwide, today announced the acquisition of the Priority Medical Care, operator of two medical clinics in Bridgewater and Somerset.
The acquisition of these two centers brings the number of U.S. HealthWorks operated medical centers in New Jersey to seven and increases the number of U.S. HealthWorks centers and worksite locations to 173 nationwide.
The Priority Medical Care Bridgewater center is located at 350 Grove St. The Somerset center has operated under the name Total Care Occupational Medicine and is located at 370 Campus Drive.
Both facilities offer occupational healthcare services, including diagnosis and treatment for injury and illness, preventive services, pre-employment and post-offer exams and screening, and return-to-work rehabilitative care. The Bridgewater center also offers urgent care services. Terms of the transactions, effective January 12, 2012, were not disclosed.

U.S. HealthWorks Acquires 11 Nashville-area Medical Centers

Nashville, TN Nov 2, 2011 – U.S. HealthWorks, a leading operator of urgent care and occupational healthcare centers nationwide, today announced the acquisition of four medical centers and seven worksite locations operated by Tennessee Urgent Care Associates. The centers are the company’s first in Tennessee.
The newly acquired centers are in the Greater Nashville area and bring the total number of U.S. HealthWorks medical and worksite centers to 167 nationwide in 15 states. The centers are located at:

Columbus, OH Oct 31, 2011 – The Defense Supply Center – Columbus has selected U.S. HealthWorks Medical Group, a leading operator of occupational healthcare and urgent care medical centers, to operate two on-site health centers for their employees.
